Confirmation of the valuation of non-monetary contribution

The share capital may be increased by issuing new shares or increasing the nominal value of the existing shares by way of making additional contributions or by way of a bonus issuance. In the cases prescribed by law the contributions may also be non-monetary.

A non-monetary contribution may be any thing which is monetarily appraisable and transferable to the private limited company or a proprietary right which may be the object of a claim. Non-monetary contributions can not be in the means of service or work provided for the company or any activities of the founders at the foundation of the company.

The non-monetary contribution shall be valuated by the Management Board or a person appointed by the Management Board, taking the usual value of a thing or right as the basis. An auditor shall audit the valuation of a non-monetary contribution according to the procedure prescribed by Commercial Code.
